STING™ Upgrade Package Non-Refundable Deposit
Terms and Conditions
Effective Date
These Terms and Conditions are effective on the date you provide a Pre-Order Deposit Payment (Deposit) to Archimedes Defense, Inc. (Archimedes). By providing a Deposit, you agree to the following Terms and Conditions.
Non-Refundable Deposit
You agree that the Deposit made for the STING™ upgrade package (“STING"™) that you selected is not refundable under any circumstances, and does not constitute a contractual obligation for Archimedes or our affiliates to deliver STING or to install any hardware on your vehicle.
Further Payment Prior to Delivery
You agree that STING™ delivery and installation is contingent on further payment when Archimedes indicates your order is ready for fulfillment. The pricing of STING in your region as well as relevant taxes and fees are subject to change. STING may experience pricing adjustments subsequent to the date of your original Deposit.
Restrictions on Delivery
Irrespective of Archimedes’ receipt of your Deposit, Archimedes may not be able to deliver STING to you. Archimedes will not deliver STING™ if you are located in a region where ownership and/or operation of STING™ is not compliant with local laws and regulations, or where prohibited by US export restrictions. Archimedes will not deliver STING™ if you are reasonably suspected of planning to use the vehicle for illegal activities, or of planning to transfer the vehicle to a third party for such purposes. You are responsible for evaluating your local laws and regulations, and Archimedes assumes no responsibility to ensure Deposits are from customers eligible to receive delivery of STING™. You understand that Archimedes has not completed development of STING™ or commenced manufacturing at the time of your Deposit and Archimedes does not guarantee when your STING™ will actually be delivered. Your delivery date depends on a wide variety of factors. Archimedes at its sole discretion reserves the right to refuse STING™ delivery to you for any reason, and is not under obligation to return your Deposit.
Arbitration Agreement
This term relates to any dispute that may arise between you and Archimedes or our affiliates, and should be carefully read. Please contact info@archimedesdefense.com with any disputes or concerns, and Archimedes will respond within 45 days. If there is no resolution within 45 days, you agree that your dispute will be adjudicated under Consumer Arbitration Rules by a single arbitrator from the American Arbitration Association (AAA). Disputes will not be decided by judge or jury. This arbitration agreement includes any claim arising from Archimedes’ statements about the STING product, or the product itself. You may only enter arbitration for disputes with Archimedes in your capacity as an individual, not as a class action or in concert with other individuals. If an arbitrator or court of law determines that any portion of this arbitration agreement is unenforceable as regards a specific claim or remedy, only that specific claim or remedy may be adjudicated in court and any other claims must still be arbitrated. You may opt out of arbitration within 30 days from the date of your Deposit by sending a letter to: Archimedes Defense, Inc. 28780 Single Oak Dr. Suite 241, Temecula, CA 92590. The letter must include your name and intent to opt out of arbitration
Liability Limitations
Archimedes and our affiliates are not liable for any incidental, special, or consequential damages arising out of these Terms and Conditions. Your sole and exclusive remedy under these Terms and Conditions will be limited to reimbursement of your Deposit. Archimedes is under no obligation to return your Deposit unless so required by an arbitrator or by a court of law.
Governing Law
These Terms and Conditions are governed by the laws of the State of California without reference to any conflict of laws rule that would result in the application of the laws of any other jurisdiction.
